These terms govern use of the Seta Reporting Connector (the “Connector”), a private software integration operated by Seta Management Solutions, LLC (“Seta”) that connects to QuickBooks Online. By authorizing the Connector to access a QuickBooks Online company, you agree to these terms on behalf of that company.
The Connector is private and unlisted. It may be authorized only by a company that has a current written engagement with Seta, and only by an individual with administrative authority over that company’s QuickBooks Online file and the authority to bind the company. If you do not have that authority, do not authorize the connection.
Seta grants the authorizing company a limited, non-exclusive, non-transferable, revocable right to use the Connector for the term of the engagement, solely to enable Seta to perform the agreed services. The Connector is licensed, not sold. No rights are granted to copy, modify, reverse engineer, sublicense, or resell it.
The Connector requests the QuickBooks Online accounting scope. Seta uses that access to read accounting records and generate standard reports.
Read-only commitment. Intuit does not publish a read-only accounting scope, so the credential Intuit issues is technically capable of writes. Seta commits that the Connector will issue read and report requests only, and will not create, modify, void, or delete any record in your QuickBooks Online file. This commitment is binding and is repeated in our engagement letter.
Seta will treat all data retrieved through the Connector as the confidential information of the authorizing company, and will handle it in accordance with the Privacy Policy and the confidentiality terms of the governing engagement letter. Where those documents conflict, the engagement letter controls.
You may revoke the Connector’s access at any time from Settings → Apps → My Apps within QuickBooks Online, without notice to Seta and without Seta’s cooperation. Seta may discontinue the Connector at any time. Termination of access does not by itself terminate the underlying engagement, and does not affect Seta’s obligations regarding data already retrieved, which continue under the Privacy Policy and the engagement letter.
The Connector is provided “as is.” Seta does not warrant that it will be uninterrupted or error-free, and disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Seta is not responsible for the availability, accuracy, or behavior of QuickBooks Online or Intuit’s APIs.
To the fullest extent permitted by law, Seta will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of use of the Connector. Seta’s total liability arising out of the Connector will not exceed the fees paid to Seta under the governing engagement letter during the twelve months preceding the claim. Nothing in this section limits liability that cannot be limited under applicable law.
Seta is an independent third party. The Connector is not produced, endorsed, or supported by Intuit Inc. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Your use of QuickBooks Online is governed by your own agreement with Intuit.
Seta may update these terms. Material changes will be posted here with a revised effective date and communicated by email to currently connected companies. Continued use after the effective date constitutes acceptance.
These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Union County, North Carolina.
